Frequently Asked Questions.

Who heads up The Danto Group?

Al Danto leads the firm with over 25 years’ experience starting, building, selling and acquiring businesses.

What types of businesses does The Danto Group assist?

We work with independent business owners who wish to transfer ownership of their companies within five years or require a valuation of their business.

What makes The Danto Group different from a “Business Broker”?

We focus on helping our clients understand valuation and how an outside investor views their company. We provide professional representation based on over 25 years of experience starting, growing and exiting our own businesses.

Our goal is to take the time necessary to prepare the business so that it will sell and pass the scrutiny of due diligence in addition to meeting the owner’s expectations.

What is an “Accredited Appraisal”?

In addition to FASB (Financial Accounting Standard Board) requirements, lending regulations known as SOP 50-10. These regulations significantly increase requirements for business appraisals. Every SBA-guaranteed business acquisition loan over $350,000 must be supported by an independent appraisal performed by a “qualified source.”

What is a Qualified Source?

A “qualified source” is defined as an individual who regularly receives compensation for business valuations and is accredited by a recognized organization such as:

  1. Certified Business Appraiser (CBA), accredited through the Institute of Business Appraisers
  2. Accredited in Business Valuation (ABV), accredited through the American Institute of Certified Public Accountants
  3. Certified Valuation Analyst (CVA) or Accredited Valuation Analyst (AVA) accredited through the National Association of Certified Valuation Analysts
  4. Accredited Senior Appraiser (ASA), accredited through the American Society of Appraisers

While not formally stated, it is commonly believed that the accreditation should be from an organization that specializes in providing business valuation training. Thus, accreditations such as an MBA or CPA are not recognized as “qualified sources.”

All of our valuation analysts are accredited by the National Association of Certified Valuation Analysts

What determines a business’s value and marketability?

In the simplest terms, value increases as the risk and inconsistency of future cash flows generated by a business decrease. Numerous factors increase or decrease the future risk of these cash flows. For example, a company with a diverse customer base, long term contracts, a well-defined brand, clear business processes, consistent revenue and other factors will command a higher value and be more desirable than a company that is not as strong in these areas.

What about confidentiality?

We hold all inquiries in strict confidence and understand the importance of this to a business owner.

Why should a business seller use The Danto Group to assist in the sale of a company?

Proven Experience! When working with The Danto Group, you can be assured of:

  • Confidentiality
  • Maximum exposure
  • Negotiating power
  • Advertising and marketing expertise
  • International and national co-brokering
  • Pricing and financing knowledge
  • Proven experience

Can’t I do this myself?

Our value is our experience. Transferring ownership in a business can be very stressful and time-consuming. We help ensure that you are able to spend time managing the business during the selling process. We maintain confidentiality about the sale so that you don’t alarm clients, employees and suppliers or give market advantage to a competitor.

Why should a business seller get a third-party valuation for the business?

It is often advisable to utilize a more formal business valuation from an independent third-party valuation firm. It has been proven that the buyer’s confidence in an independent third-party professional valuation report frequently results in a quicker sale at a higher price.
